The Internal Control And Risk Management System

The internal control and risk management system (“SCIGR”) is a set of rules, procedures, and organizational entities aimed to identify, measure, manage, and monitor the main corporate risks within the Group.

The SCIGR, in particular, safeguards the Company's assets, the efficiency and effectiveness of business processes, the reliability of financial reporting and the compliance with laws, regulations, Bylaws and internal procedures.

The SCIGR plays, therefore, a central role in the Company's organization, contributing to the adoption of decisions consistent with the risk appetite of the Company, as well as the internal circulation of a correct understanding of risks, legal principles and corporate values.

The financial management by Poste Italiane is supervised by the Court of Auditors as required by Italian Law no. 259 of 21 March 1958, in order to safeguard public financial resources.

This is carried out by a Member of the Court of Auditors, Francesco Petronio, in accordance with the decision of the Presidential Council of the Court of Auditors issued at the meeting held on 27-28 January 2015.

The abovementioned Member of the Court of Auditors attends the meetings of the Board of Directors and of the Board of Auditors.
Pursuant to the Legislative Decree No. 39 of 2010, the Shareholders’ Meeting held on April 14, 2011  appointed PricewaterhouseCoopers S.p.A. to audit the Company’s separate financial statements and consolidated financial statements for the financial years 2011-2019.
